Terms of Service

The terms that govern your use of Shifo.

These Terms of Service ("Terms") govern your access to and use of Shifo, a service operated by Vortexcode (KVK 92781837, VAT NL004978173B40), based in the Netherlands. By creating an account or using Shifo you agree to these Terms.

1. Service description

Shifo is a web-based operations platform for hospitality teams. It lets organizations plan shift rosters, run daily tasks, register working hours via a tablet or self-service clock, manage leave and staff contracts, and export payroll-ready data. Features evolve over time; some features may require a paid plan.

2. Account and organization

To use Shifo you must create an account and belong to at least one organization. You are responsible for:

  • Keeping your login credentials confidential.
  • All activity that happens under your account.
  • Ensuring the people you invite to your organization agree to these Terms.

Owners and admins are responsible for managing member access within their organizations.

3. Acceptable use

You agree not to:

  • Use Shifo to store or transmit illegal, harmful, or infringing content.
  • Attempt to disrupt the service, bypass access controls, or reverse-engineer the platform.
  • Use Shifo to send unsolicited messages or harass other users.
  • Share your account with people outside your organization.

We may suspend or terminate accounts that violate these rules.

4. Plans, billing, and cancellation

Paid plans are billed monthly or annually via Stripe. Prices are shown on the pricing page and are exclusive of VAT where applicable. You can cancel at any time from the billing section of your organization; cancellation takes effect at the end of the current billing period.

Refunds are not provided for partial billing periods except where required by Dutch or EU consumer law.

If billing fails, your organization may be placed into a read-only or restricted state until the issue is resolved. Your data is preserved.

5. Your content and data ownership

You retain all rights to the content you submit to Shifo, including tasks, shifts, schedules, time entries, leave requests, staff contracts, comments, attachments, section configurations, and any other data your team creates. We process this content only to provide the service to you.

You grant Vortexcode a limited, non-exclusive, worldwide license to store, display, and process your content for the sole purpose of operating Shifo.

We do not sell your data. We do not use your content to train AI models.

6. Availability and support

We aim to keep Shifo available at all times but do not guarantee uninterrupted service. Scheduled maintenance, force majeure, and third-party outages may cause downtime. We will communicate planned maintenance where reasonably possible.

Support is provided via email at support@shifo.nl during business hours, Monday to Friday.

7. Changes to the service and these Terms

We may update Shifo's features, pricing, and these Terms from time to time. Material changes to the Terms will be communicated via email or an in-app notice at least 30 days before they take effect. Continued use after that date constitutes acceptance of the updated Terms.

8. Limitation of liability

To the maximum extent permitted by applicable law:

  • Shifo is provided "as is" and "as available".
  • Vortexcode is not liable for indirect, incidental, or consequential damages.
  • Total liability in any twelve-month period is limited to the fees you paid to Vortexcode during that period.

Nothing in these Terms limits liability for intentional misconduct or gross negligence.

9. Termination

You can close your account at any time from the account settings. Upon termination we will delete your organization's data within a reasonable period (typically 30 days), except where retention is required by law.

We may terminate or suspend your access if you breach these Terms, if payment fails for a prolonged period, or if required by law.

10. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent courts in the Netherlands, without prejudice to mandatory consumer protection rules.
